LINEHIRE TERMS OF USE

Introduction

Welcome to LineHire (“LineHire”, “Company”, “our”, “we”, or “us”)! Our legal name is LineHire, Inc., and we are a Delaware corporation. These Terms of Use (the “Terms” or “Agreement”) form a legal agreement between LineHire and you (“you,” or “your”, refers to you or any entity that you represent) with respect to your use and access of Service (as defined below), including the website (the “Website”) Service (as defined below).

Your use of and access to the Service is conditioned on your full compliance with these Terms, the Privacy Policy, and all applicable laws and regulations.

Please read these Terms and our Privacy Policy found at https://linehire.com/privacy-policy/ incorporated herein by reference (“Privacy Policy”) prior to using or accessing the Service. By using or accessing the Service, you accept and agree to be bound and abide by these Terms and the Privacy Policy, each as amended from time to time. In the event that we change these Terms or the Privacy Policy, we will provide you written notice (whether through email, your account, pop window, or upon login to the Service) of such changes. If you do not agree to these either Terms or the Privacy Policy, now or as amended in the future, you must not use or access the Service.

You must be at least 18 years of age to use the Service. By using or accessing the Service in any manner, you warrant and represent that you are at least 18 years of age.

Please note that we reserve all rights that are not expressly granted to you under these Terms.

Service, Accounts, Access and Use

Service

LineHire provides a unique service to businesses and organizations (“Clients”) that are in need of hiring talented employees and service providers (each, a “Candidate”). When a Client needs to hire a Candidate, they can launch a LineHire Campaign (“Campaign”), which, when launched, signals to recruiting specialists in LineHire’s recruiter network (each, a “Talent Scout”) to begin sourcing, researching, vetting and submitting potential Candidates for consideration via LineHire to the posted Campaign (collectively with the Website, the “Service”).

We reserve the right to amend the Service, and any feature or material we provide as part of the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.

Use Restrictions

We reserve the right to refuse the use of or access to the Service to anyone for any reason at any time. From time to time, we may restrict use of or access to the Service, or any portion thereof. We may, in our sole discretion, terminate your right to use the Service with or without cause at any time, and may prevent your future use of or access to the Service. You may terminate this Agreement by simply discontinuing using or accessing the Service. In the event of the termination of this Agreement, we may restrict your access to use or access the Service and any content or material that you may have used in connection with the Service. The restriction of your use of and access to the Service shall survive termination.

Account Creation and Maintenance

You are required to create a LineHire account (an “Account”) in order to use or access the Service. To create an Account, you may be required to provide your name, most up-to-date current and valid email address, contact information, LinkedIn profile access, number of jobs to be filled, telephone number and select whether you are registering as a Client or a Talent Scout (“Account Information”). You agree that all Account Information that you provide is or will be accurate, full, complete and up-to-date. Furthermore, you agree to promptly update such Account Information in the event that any such information changes. During the creation of your Account, you will create a unique username and password (“Log-In Information”) that you will use to access and use your Account.

FOR AVOIDANCE OF DOUBT, BY THE NATURE OF THE SERVICE, IF SUBMIT INFORMATION OF ANOTHER PERSON, YOU AGREE THAT YOU HAVE THE EXPRESS WRITTEN CONSENT OF THAT PERSON TO SUBMIT THEIR INFORMATION VIA THE SERVICE. FURTHERMORE, YOU AGREE THAT THE PERSON TO WHOM THE INFORMATION YOU SUBMITTED BELONGS HAS CONSENTED TO US (OR ANY EMPLOYER OR OTHER PARTY USING THE SERVICE) CONTACTING THEM.

Unauthorized use may result in criminal and/or civil prosecution under Federal, State and local law. If you become aware of misuse of our Service, please contact us at contact@linehire.com.

Intellectual Property and Content

Intellectual Property

You acknowledge and agree that the LineHire retains ownership of all intellectual property rights of any kind related to the Service, including applicable copyrights, trademarks, and other proprietary rights. Other product and company names that are mentioned on the Service may be trademarks of their respective owners.

Content – Generally

While using the Service you (and other parties who use or access the Service (each a “User”)) may post, submit, publish, display, or transmit (hereinafter “post”) information, content and other material, including, without limitation, text, images, audio material, video material and audio-visual material (“Content”), associated with your Account. Any Content that you post is accessible by other Users. By posting any Content on the Service, you grant us and our respective successors and assigns a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your posted Content in any existing or future media. You also grant to LineHire the right to sub-license these rights, and the right to bring an action for infringement of these rights.

While we do endeavor to make LineHire a friendly and welcoming website, we are simply unable to review all Content before it is posted on the Service, and cannot ensure prompt removal of objectionable Content after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or Content provided by any User or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any Content on or through the Service. YOU WAIVE AND HOLD HARMLESS LINEHIRE AND ITS SUCCESSORS AND ASSIGNS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

DMCA Takedown

All content that you use with respect to the Service must comply with U.S. copyright law, depending on jurisdiction. If you are the copyright owner or an agent thereof and believe, in good faith, that any materials currently being used in connection with the Service infringe upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (see 17 U.S.C 512) (“DMCA”) by sending the following information in writing to LineHire’s designated copyright agent at contact@linehire.com:

Subscriptions

LineHire offers subscriptions to the Service in accordance with the details of such subscription on the LineHire subscription page Service (any subscription, monthly or otherwise, is referred to herein as “Subscription”). LineHire will not charge you to use the Service unless you incur a fee pursuant to these Terms (such as by launching a Campaign or hiring a Candidate) or sign up for a Subscription to use the Service which requires that you affirmatively select a Subscription and purchase that Subscription by entering your credit card information. The following shall apply if you sign up for a Subscription:

You will provide LineHire with updated credit card information upon LineHire’s request and any time the information you previously provided is no longer valid. You are solely responsible for maintaining and updating your credit card information. LineHire is not liable for any non-sufficient funds or other charges incurred by you as a result of such attempts to charge, and/or place holds on, your credit card. If you mistakenly provide a debit card number, instead of a credit card number, you authorize all charges described herein to be applied to such debit card unless and until you provide a credit card number, and you agree that LineHire is not liable for any fees incurred as a result of providing a debit card instead of credit card.

LineHire Campaigns

Regardless of whether you are a Client or a Talent Scout, you agree with the procedures and process outlined below with respect to the Service.

Campaign Creation

Clients may create a candidate Campaign by accessing the Service, drafting a campaign brief (“Brief”), speaking with a LineHire representative concerning the Campaign, and paying the Campaign fee (“Campaign Fee”) per instructions provided upon creation of the Campaign, unless Client has a subscription with LineHire, in which case Client shall continue to comply with the requirements of such subscription. The Brief must clearly specify the candidate requirements for the LineHire Campaign, such that Talent Scouts clearly know the rules and criteria to be used in judging candidate resumes for the respective Campaign. Clients agree to provide timely feedback and status updates on candidates submitted by using the Service’s app status update and messaging feature.

Campaign Submission

Talent Scouts may submit candidate resumes (“Submissions”) in the format specified by LineHire by following the instructions found on the Website. A candidate whose resume was delivered to constitute a Submission shall be referred to herein as a “Submitted Candidate”. Submissions must comply with the Campaign Brief. Submissions must meet the requirements specified in the job description and the Submitted Candidate must be available to take a position if offered to him or her.

FOR AVOIDANCE OF DOUBT, BY THE NATURE OF THE SERVICE, IF SUBMIT INFORMATION OF ANOTHER PERSON, YOU AGREE THAT YOU HAVE THE EXPRESS WRITTEN CONSENT OF THAT PERSON TO SUBMIT THEIR INFORMATION VIA THE SERVICE. FURTHERMORE, YOU AGREE THAT THE PERSON TO WHOM THE INFORMATION YOU SUBMITTED BELONGS HAS CONSENTED TO US (OR ANY EMPLOYER OR OTHER PARTY USING THE SERVICE) CONTACTING THEM.

Campaign Refunds

Clients who do not have a LineHire subscription are eligible for a full refund of the Campaign Fee with respect to any unsatisfactory Campaign yielding no Submissions. In the event that a Campaign ends with 3 or fewer Submissions, LineHire, in its sole discretion, may refund a portion of the Campaign Fee. Any Campaign Fee refund requested by Client must be made no later than 7 days from the date on which the respective Campaign concluded.

If Client contacted any Submitted Candidate then the Client is not eligible for a refund of the Campaign Fee or any other amount.

Notwithstanding any term or provision of these Terms, credit card processing and other transaction fees associated with Campaign and Campaign Fee are not refundable.

Success Fees

For the purposes of this section, “Hired” means (i) entering employment with the Client, (ii) beginning a service provider relationship with the Client, or (iii) engaging in any activity with Client for which compensation is received (“Service Relationship”).

In the event that a Submitted Candidate is Hired by a Client (a “Hired Candidate”) within 12 months of the end date of the Campaign for which the Submission of the Submitted Candidate was made, then the Client shall pay a “Success Fee” to the Talent Scout responsible for the Submission of the Hired Candidate (“Successful Talent Scout”) in accordance with the terms and provisions herein. Please note that the amount of a Success Fee is set forth in the respective Campaign and varies per Campaign.

Each Client hereby agrees to immediately notify LineHire as soon as a Hired Candidate is Hired by such Client (the “Hiring Notice”). Upon receiving the Hiring Notice, LineHire will invoice (the “Success Fee Invoice”) the Client for the Success Fee. The Success Fee Invoice shall be due on the date on which the Hired Candidate begins the Service Relationship with the Client. The Client hereby agrees to pay the Success Fee Invoice upon receipt. Once LineHire has received payment from a Client for a Success Fee Invoice, LineHire will pay the respective Successful Talent Scout the Success Fee once the Guarantee Period (as set forth below) for the Hired Candidate has ended.

If multiple Talent Scouts refer the same Hired Candidate, the Talent Scout responsible for the first Submission of the Hired Candidate will be entitled to the Success Fee.

Candidate Guarantee

LineHire provides each client with a Candidate Guarantee, whereby LineHire will refund the Client a portion of the Success Fee (as set forth below) should the Hired Candidate for which the Success Fee was paid not remain in a Service Relationship with the Client for at least 30 days (the “Guarantee Period”). In the event that a Hired Candidate terminates the Service Relationship out of such Hired Candidate’s own volition or is terminated by Client for cause within the Guarantee Period, LineHire will refund 100% of the Success Fee (assuming the Success Fee was paid in full), and no Success Fee will be owed to the Talent Scout.

Interview Rewards

LineHire rewards Talent Scouts by paying them an amount (as set forth in the respective Campaign) in the event that their Submission leads to an interview (in person, by video or telephone) between the Submitted Candidate and the Client.

Tax Issues

If you are entitled to be paid any fees hereunder, you agree to be responsible at all times to report such income and pay all taxes to which you are subject under any applicable law or regulation. Your relationship with LineHire is that of an ‘independent contractor’ and not an employee. You agree to abide by IRS rules governing this matter. Notwithstanding, please note we reserve the right in our sole discretion to withhold any amount of any fee to which you may be entitled hereunder.

Non-Circumvention

If a Client seeks to circumvent any payment due to LineHire in accordance herewith or as otherwise established by LineHire and agreed to by Client, then Client will pay a Success Fee equal to 25% of the 1st year base salary or prorated contractor compensation of the Candidate and LineHire may, in its sole discretion, terminate the Client’s account. Furthermore, a Talent Scout agrees to notify us of any Client seeking to circumvent LineHire’s Terms and policies.

Confidentiality

Confidential Information” shall include non-public technical, business or other information or materials disclosed or otherwise made available by one party in connection with the Service, including (i) job postings or information related to job postings, (ii) information or materials related to any Candidate, (iii) the fact that any Candidate’s information or materials are being exchanged through the Service, and (iv) the fact that a Candidate may be seeking a Service Relationship. “Confidential Information” does not include information or material that (a) was already rightfully known to the recipient at the time of disclosure; (b) was disclosed to the recipient by a third party who had the right to make the disclosure without any confidentiality restrictions; (c) is generally available to the public without wrong doing on the part of the recipient; or (d) was independently developed by the recipient without accessing or using Confidential Information.

Each User agrees to only disclose Confidential Information (i) after obtaining written consent of the party to whom the Confidential Information belongs; and (ii) as required by law; (iii) in order to facilitate the Service pursuant to these Terms.

Liability and Indemnification

Employment Verification and Background Checks

LineHire may collect references on certain Candidates and provide those references to Clients, but it makes no representations or warranties concerning the backgrounds of Candidates and the veracity of the references, nor does LineHire attempt to further verify the employment backgrounds, resumes, or other information submitted with respect to any Candidates. As such, you, whether as a Talent Scout or Client, agree to vet each candidate with reasonable due diligence without relying on any statements or Content provided by any User.

Assumption of Risk

We do not warrant the accuracy, completeness, or usefulness of any information or Content. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other party that uses or access the Service. The Service contains Content provided by third parties, including materials concerning Clients and Candidates; all information, statements and/or opinions expressed with respect to these materials are solely the opinions and the responsibility of the person or entity providing those materials. We are not responsible or liable to you or any third party, for the content or accuracy of any Content, materials or information provided by any third parties.

No warranties

THE SERVICE, AND ANY CONTENT OR INFORMATION THEREIN, IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. LINEHIRE MAKES NO EXPRESS OR IMPLIED WARRANTIES AND CONDITIONS REGARDING THE SERVICE, THE USE OR PERFORMANCE OF THE SERVICE, ANY CANDIDATES PROVIDED AS A RESULT OF THE SERVICE, RESULTS OF ANY CAMPAIGNS OR OTHERWISE. WITHOUT LIMITING THE FOREGOING, LINEHIRE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE SERVICE (INCLUDING ANY CONTENT AND INFORMATION THEREIN) INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, ACCURACY, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, THE COMPANY MAKES NO WARRANTY OR REPRESENTATION THAT ACCESS TO OR OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE. YOU ASSUME FULL RESPONSIBILITY AND RISK OF LOSS RESULTING FROM YOUR USE OF THE SERVICE. SOME JURISDICTIONS LIMIT OR DO NOT PERMIT DISCLAIMERS OF WARRANTY, SO THIS PROVISION MAY NOT APPLY TO YOU.

Limitations of Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LINEHIRE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, ITS SUCCESSORS OR ITS ASSIGNS, BE LIABLE TO YOU FOR ANY FOR ANY INTERRUPTION OF THE SERVICE, LOSS OF USE, LOST SAVINGS OR OTHER CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR PUNITIVE DAMAGES, HOWEVER ARISING. LINEHIRE WILL NOT BE LIABLE FOR ANY DELAY IN ACCESSING AND/OR INABILITY TO ACCESS THE SERVICE, WHETHER DUE TO AN ACT OF GOD, ACTION BY GOVERNMENTAL ENTITY, STRIKE, NETWORK DIFFICULTY, ELECTRONIC MALFUNCTION, OR ANY RELIABILITY OR EFFECTIVENESS RELATED TO THE SERVICE. LINEHIRE MAKES NO WARRANTY OR REPRESENTATION THAT THE OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR THAT THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR-FREE. LINEHIRE’S LIABILITY TO YOU FOR DAMAGES FROM ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT (EVEN IF A FUNDAMENTAL BREACH), TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, WILL BE LIMITED TO THE TOTAL FEES PAID BY YOU FOR THE SERVICE. THESE LIMITATIONS OF LIABILITY APPLY EVEN IF LINEHIRE HAS BEEN EXPRESSLY ADVISED OF THE POTENTIAL LOSS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES WILL LINEHIRE BE LIABLE TO CLIENT, (REGARDLESS OF WHETHER THE CLAIM IS BASED IN CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) FOR MORE THAN THE GREATER OF (1) THE FEES PAID BY THE CLIENT TO LINEHIRE, OR (2) $100, WITH RESPECT TO ANY ACTION OR INACTION TAKEN CANDIDATE. THE LIMITATIONS OF THIS SECTION WILL NOT APPLY TO LIABILITY THAT CANNOT BE LEGALLY EXCLUDED OR LIMITED.

We reserve the right to change or discontinue at any time any aspect or feature of the Service. To the extent that the state in which you reside does not permit the exclusion or limitation of liability for incidental or consequential damages, the above disclaimer of warranty and limitation of liability may not apply to you.

Indemnity

you agree to indemnify and hold harmless LINEHIRE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, ITS SUCCESSORS OR ITS ASSIGNS from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of thESE TERMS, misuse of the Services, violation of any law, or the rights of a third party; such indemnification shall include any loss suffered by the LINEHIRE as a result of your use of OR ACCESS TO the Services or your use of content provided by the Services.

FURTHERMORE, IN RELATION TO CANDIDATE’S ENGAGEMENT BY A CLIENT, YOU (WHETHER AS AN CLIENT, TALENT SCOUT OR CANDIDATE) AGREE TO INDEMNIFY, HOLD HARMLESS AND DEFEND LINEHIRE FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, LOSSES, DAMAGES, LIABILITIES, COSTS, AND EXPENSES, INCLUDING ATTORNEYS’ FEES, ARISING OUT OF OR, INCLUDING, WITHOUT LIMITATION, SUCH ARISING FROM (I) THE DEATH OR INJURY OF ANY PERSON, (I) THE DAMAGE OR DESTRUCTION OF ANY WORK OR PROPERTIES, ATTRIBUTABLE TO OR RESULTING FROM CANDIDATE’S ENGAGEMENT WITH CLIENT, (III) CLAIMS MISCLASSIFICATION OF A CANDIDATE AS AN INDEPENDENT CONTRACTOR, (IV) ANY LIABILITIES ARISING FROM A DETERMINATION BY A COURT, ARBITRATOR, GOVERNMENT AGENCY OR OTHER BODY THAT CANDIDATE WAS MISCLASSIFIED, AND (V) ANY BREACH OF AGREEMENT, ACTION, INACTION, OMISSION OR ANY CLAIMS UNDER ANY EMPLOYMENT-RELATED REGULATIONS, SUCH AS THOSE RELATING TO TERMINATION OF EMPLOYMENT, DISCRIMINATION, HARASSMENT OR RETALIATION, OVERTIME PAY, SICK LEAVE, HOLIDAY OR VACATION PAY, WAGES, TAXES, OR DISABILITY INSURANCE, RETIREMENT BENEFITS, WORKER’S COMPENSATION, UNEMPLOYMENT, OR ANY OTHER EMPLOYEE BENEFITS REQUIRED BY LAW.

Exceptions

Nothing in the foregoing disclaimers will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit; and nothing in the foregoing disclaimers will exclude or limit LineHire’s liability with respect of any death or personal injury caused by LineHire’s negligence; fraud or fraudulent misrepresentation on the part of LineHire; or matter which it would be illegal or unlawful for LineHire to exclude or limit, or to attempt or purport to exclude or limit, its liability.

Miscellaneous

Privacy Statement

We are committed to protecting your privacy. Only authorized employees within the company on a need to know basis use any information collected from Users. We constantly review our systems and data to ensure the best possible service to our users.

We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by LineHire will only be in connection with the provision of agreed services and products.

Arbitration

At LineHire’s sole discretion, it may require you to submit any disputes arising from the use of or access to the Service or these Terms, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying North Carolina law.

Choice of Law

Any claim relating to the Service shall be governed by the laws of the state of North Carolina, without regard to any conflict of law provisions. To the extent that any claim or dispute arises between you and LineHire that is not subject to the foregoing Arbitration section, then you consent to the sole and exclusive jurisdiction for any action or proceeding arising out of or related to this Agreement shall be in an appropriate state or federal court located in the county of Wake and state of North Carolina.

Consent to Electronic Notices

For contractual purposes, you (A) consent to receive communications from LineHire in an electronic form via the email address you have submitted; and (B) agree that all Terms of Use, agreements, notices, disclosures, and other communications that LineHire provides to you electronically satisfy any legal requirement that such communication would satisfy if it were in writing. The foregoing does not affect your non-waivable rights. We may also use your email address, to send you other messages, consistent with and as described in more detail in our Privacy Policy located at https://linehire.com/privacy-policy/. You may opt out of such email by changing your account settings or sending an email to contact@linehire.com.

Reasonableness

By using or accessing the Service, you agree that the terms and provisions herein are reasonable. If you do not the terms and provisions herein are reasonable, you must not use or access the Service.

Other parties

you agree that you will not bring any claim personally against LineHire’s officers or employees in respect of any losses you suffer in connection with the Service. Without prejudice to the foregoing sentence, you agree that the limitations of warranties and liability set out in this website disclaimer will protect LineHire’s officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as LineHire.

Entire Agreement and Severability

These Terms and our Privacy Policy constitute the entire agreement between you and LineHire regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect. Our rights under these Terms will survive (including rights to payment in accordance with these Terms and policies) any termination of these Terms.

Waiver

Even if we do not require strict compliance with these Terms in each instance, you are still obligated to comply with these Terms.
